Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Contextra — the desktop application, website, and account dashboard — provided by PEDRO MACHADO CONSULTORIA (CNPJ 36.196.031/0001-07) (“Contextra”, “we”, “us”). By creating an account or using Contextra, you agree to these Terms. If you don’t agree, please don’t use Contextra.
1. The service
Contextra is a computer-assisted translation (CAT) tool: a desktop app for macOS and Windows, plus a website and account dashboard. It translates Word, Excel and PowerPoint files (.docx, .xlsx and .pptx) with AI and gives you back the same kind of file; the AI is paid for in one of two ways. By default you use your own API key for the provider you choose — Anthropic (Claude), OpenAI (GPT) or Google (Gemini). The app and its engine run on your computer, the AI translation itself is performed by that provider on your key, and in this mode we don’t provide, host or resell the AI; you deal with the provider directly. Or you can buy AI Credits and use AI models that Contextra provides instead: those requests go through our gateway, on our own provider accounts, and are paid for from your credit balance (see sections 3 and 5).
2. Eligibility & accounts
You must be at least 18 and able to enter into a binding contract. Provide accurate account information and keep it up to date. You’re responsible for your login credentials and for activity under your account. Each account is for one person or organization; the Team plan provides seats for additional users. The desktop app signs in with the email address and password of your Contextra account. An account created with Google or Microsoft sign-in has no password, so it can’t be used to sign in to the desktop app.
On a Team plan, the owner and the managers they appoint can invite and remove members, and can read and delete any document in the team’s team projects. If your team removes your seat, your access to the team’s plan and its projects ends — work already saved on your own computer stays yours.
Two things survive your leaving, in opposite directions. A Translation Memory or Term Base you shared with the team stays with the team, because your colleagues are relying on that terminology; stop sharing it before you go if you want it removed from our servers. Copies that subscribers already received stay on their computers, and we have no way to reach them. And a memory you subscribed to stays on your computer (we cannot reach copies already downloaded), though it stops receiving updates.
3. Plans, trial & billing
- Free trial: new accounts get a 14-day free trial of the full app, with no card required. The trial starts when you create your account. It doesn’t include any AI usage: to use the AI features, use your own API key or buy AI Credits.
- Professional — US$27/month, or US$240/year.
- Team — US$45 per seat/month, billed annually, minimum 3 seats. The team owner holds the subscription and pays for it. A seat is occupied by a member or by a pending invitation; the owner can add seats at any time by writing to support at support@contextra.pro, and added seats are charged pro rata for the remainder of the term. Removing a member frees their seat for someone else but does not reduce the number of seats you are paying for until the subscription is changed. The Team plan doesn’t include AI usage: each member uses their own API key or their own AI Credits.
- Perpetual — a one-time payment of US$499. If you purchase by December 31, 2026, in your local time, you receive free updates for life. Like an individual plan, a Perpetual license is re-verified online at least every 14 days (section 4).
- AI Credits — optional prepaid credits for using AI models that Contextra provides through its gateway.
- Packs and prices. Credits are sold as one-time packs: US$12 for 100, US$50 for 500 and US$160 for 2,000 credits.
- How requests are debited. Each AI request is debited from your balance according to the tokens it actually uses, at per-model credit rates that we set and may change. A request is also debited when it ends in a provider error that reports the tokens it used, and when it was already running as your balance ran out, even though its result is discarded.
- Where you see what you used. Your account’s Usage page shows the credits your requests used, by day, model and step. The app’s Usage page covers only requests made from that computer and can miss some debits.
- No expiry date; deletion. Your AI Credits balance has no expiry date. It belongs to the account that bought it and can’t be transferred or shared across a team, so deleting your Contextra account also deletes any unspent credits.
- Memory matches. Segments your memory already confirms (101%, 102% and human-approved 100%) aren’t sent to the AI for translation. A match whose formatting has to be carried over can still need a small, debited request.
- Without a plan. Credits are not a subscription and aren’t required for any plan. A plan or trial is still needed for AI on your own API key. Without one, a positive balance lets you use AI Credits and keeps your exports free of the unlicensed notice while it stays above zero.
- Below zero. Because usage can only be debited after the AI provider responds, a request may briefly take your balance slightly below zero; further AI Credits requests are refused until a top-up brings it back above zero.
- AI Credits limits and pauses — each account can use up to 2,000 credits a day, with up to 8 requests at a time. Contextra may also pause AI Credits for everyone for a while, for example when a daily safety limit on its spending with AI providers is reached; requests it refuses aren’t debited. Each model also has a maximum response length per request.
Prices are in US dollars and exclusive of any applicable taxes. Subscriptions renew automatically for the same period until you cancel; you can cancel at any time and your plan stays active until the end of the current period.
Right of withdrawal: for online purchases you may withdraw within 7 days of purchase, as provided by Article 49 of the Brazilian Consumer Protection Code (CDC). Otherwise, fees already paid are non-refundable except where required by law. Card payments are handled by our payment processor (Stripe), and your purchase is also subject to that processor’s terms.
4. Software license
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Contextra desktop app on the number of computers your plan allows (1 for the trial; 2 for Professional and Perpetual). The Perpetual plan is a permanent license to the version(s) of the app covered by your updates entitlement. Like an individual plan, it depends on the app checking your license with our servers at least once every 14 days, as described below, and it ends if you delete your account (section 12).
Once you’ve signed in, the app can work without a network connection (except for AI steps, which always need one) for up to 14 days after its last license check, or 7 days on a Team seat. After that, or if your computer’s clock is more than five minutes off, AI steps pause and exports carry an “UNLICENSED TRIAL” notice until the app can check your license again with the clock set correctly; your work stays available. The notice goes at the top of a Word document, on every PowerPoint slide, and in the printed page header of every Excel sheet, where it replaces the sheet’s existing header and doesn’t show in Normal view. A Team seat is shorter because the license is granted by the team rather than held by you: when your team removes your seat, that period is also how long the app may keep working offline. You may not reverse-engineer, resell, sublicense, or attempt to circumvent the app’s licensing, except to the extent the law expressly permits.
Updates
The app checks for new versions. On a Mac, it tells you when one is ready and installs it when you click; on Windows, it tells you and opens the download page, where you install it yourself. Installing a new version keeps your documents, memories and settings; an older version may not be able to open documents or backups made by a newer one.
5. Your own API key
Using your own API key is the default. You supply your own API keys for the AI providers you use, and you enter them in the desktop app, which keeps them on your computer. Using your own key requires an active plan or trial. You are responsible for those keys and for all charges the provider bills you. You must comply with the provider’s own terms. Any cost figures the app shows for your own key are estimates based on providers’ published prices, not bills, and may differ from what your provider actually charges.
If you use AI Credits instead, no provider key is needed: requests go through Contextra’s gateway, on our own provider accounts, and you pay nothing to the provider — the only cost is the credits debited from your balance (section 3). The models offered on AI Credits and their credit rates are set by us and may change over time; the app lists the models you can choose.
6. Your content & intellectual property
You keep all rights to your documents and your translations. We claim no ownership of them. The app and its engine run on your computer, and your documents are processed there. When an AI step runs, the text it needs goes to an AI provider: on your own API key straight from your computer, never through our servers; on AI Credits through our gateway. The gateway doesn’t keep the text of your requests. Our gateway keeps the AI’s reply, encrypted, so that a retry within ten minutes isn’t charged twice; routine clean-up then erases it. Clean-up runs as later requests arrive, so a reply can be kept longer than ten minutes. Section 5 of our Privacy Policy lists what each step sends. Two Team-plan features are the exceptions where we store your content for longer, and only if someone on your team uses them.
Team projects. If someone on your team uploads a Word document to a team project, that file, the working files the translator’s app sends back and the translated file handed back with Complete are stored on our servers, so the assigned translator and your team’s managers can download them. Your team’s owner and managers can download and delete anything in your team’s projects. Our Privacy Policy sets out what is stored, who can read it, and how long we keep it.
Shared Translation Memories and Term Bases. Sharing one uploads its entries — client sentences and their translations — and copies them to every teammate who subscribes. That fan-out is the feature, and it is worth being deliberate about: entries a subscriber has already received are on their computer, so stopping sharing halts future updates but cannot recall what was sent. See section 4 of the Privacy Policy.
If your team turns on end-to-end encryption, the shared-memory entries sent from then on are encrypted on your computers before they reach us, and we hold no key that can open them; entries shared before it was turned on aren’t covered until they change. Two consequences follow, and both belong to you rather than to us: we cannot restore access to encrypted entries if every computer holding your team’s key is lost, and we cannot produce their content for anyone (you, a member of your team, or a third party), because we hold no key that can open it. Section 4 of our Privacy Policy explains what encryption covers and what it relies on, including the member and device list we keep.
For both, you grant us only the limited right to store, transmit and replicate that content to your team in order to provide the feature — nothing else, and never to train any AI model. On AI Credits, you likewise grant us only the right to relay your text to the AI provider, to let that provider cache the repeated part of your requests briefly on our account, and to keep the AI’s reply until the retry window described above has passed and routine clean-up erases it. That right never extends to training any AI model. You are responsible for having the right to upload or share it, and for ensuring your own agreements with your clients permit it. This matters more for a shared memory than it looks: the entries come from documents you translated, so sharing a memory can disclose client text you never consciously uploaded.
We (and our licensors) own the Contextra software, brand, and website, and these Terms don’t transfer any of those rights to you.
7. Acceptable use
Use Contextra only for lawful purposes and only to process content you have the right to process. Don’t use it to infringe others’ rights or to break the law, and don’t attempt to breach the security of the service or its licensing.
8. Translation output
Contextra is a tool to assist your work. AI-generated translations may contain errors, omissions, or inaccuracies. You are responsible for reviewing, editing, and — where relevant — certifying the output. Contextra does not produce a sworn or certified translation on its own, and it does not provide legal advice.
Some content isn’t translated. Text inside tracked changes or content controls stays in the source language and can move to the end of its paragraph without a warning, so accept tracked changes first. Comments, charts, SmartArt, Excel sheet names and PowerPoint slide masters aren’t translated either. An image or other element placed between two pieces of text in a Word paragraph can move to the end of that paragraph. Translated text isn’t re-fitted to its box, fields such as page numbers inside a translated Word paragraph become fixed text, and text a document hides is translated like visible text. Our Features page lists these limits. Check the exported file before you deliver it.
9. Third-party services
Contextra works with third-party services: the AI providers you use on your own API key, sign-in providers (Google, Microsoft), our payment processor (Stripe) and our email provider (Resend). Where you use a third-party service directly (an AI provider on your own key, a sign-in provider or the payment processor), your use of it is governed by its own terms and privacy policy, and we are not responsible for it. On AI Credits, the AI provider processes your requests on our behalf, and you don’t need an account with it.
10. Warranties
Contextra is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We don’t warrant that the service will be uninterrupted, error-free, or fit for a particular purpose. Nothing in these Terms limits any rights you have as a consumer under Brazilian law that cannot be waived.
11. Limitation of liability
To the extent permitted by law, our total liability arising out of or relating to Contextra is limited to the amount you paid us in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages. This does not exclude any liability that cannot be excluded under Brazilian law.
12. Suspension & termination
You may stop using Contextra at any time. We may suspend or terminate your access if you materially breach these Terms or use the service unlawfully. If your plan or trial ends, AI on your own API key pauses and exports carry the “UNLICENSED TRIAL” notice described in section 4 until a license is active again. A positive AI Credits balance keeps AI Credits working, with exports free of that notice, while it lasts. Team project files, uploads and shared-memory syncing need your team’s plan to be active. A Perpetual license continues to cover the version(s) it already granted, subject to the license check in section 4.
If your plan or trial ends, everything on your own computer stays yours: while you’re signed in, you can keep opening, editing and exporting your work, with the notice described in section 4 on exports while no license is active. What happens to content you put in a team (team project files and shared memories) is set out in section 6 and in the Privacy Policy’s retention section.
Deleting your account
You can delete your account from your dashboard’s Settings. Deleting your account is immediate and can’t be undone. It deletes your account data on our servers, including your delivered-document history, your usage and any API keys saved on this website. It ends your plan or license at once, a Perpetual license included, cancels any subscription at once and deletes any unspent AI Credits. Deleting refunds nothing: if you think you’re owed a refund, write to support@contextra.pro before you delete. It also deletes your AI Credits history, and none of this can be restored. It doesn’t delete the work on your computers (see section 6 of the Privacy Policy). Contextra opens the work on your computers only while you’re signed in, so export what you need before you delete your account. Files you have already exported are unaffected. If you own a team, contact us first: the team has to be deleted or handed to another member before your account can be deleted, and neither can yet be done from the dashboard.
13. Changes to the service and these Terms
We may change or discontinue features and plans, and we may update these Terms. For significant changes we’ll give notice by email or in the app, and we’ll update the “Last updated” date above. Continuing to use Contextra after changes take effect means you accept the updated Terms.
14. Governing law & venue
These Terms are governed by the laws of Brazil. If you use Contextra as a consumer, you may bring claims in the courts of your own domicile, as provided by the Brazilian Consumer Protection Code.
