Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Contextra — the desktop application, website, and account dashboard — provided by PEDRO MACHADO CONSULTORIA (CNPJ 36.196.031/0001-07) (“Contextra”, “we”, “us”). By creating an account or using Contextra, you agree to these Terms. If you don’t agree, please don’t use Contextra.
1. The service
Contextra is a computer-assisted translation (CAT) tool: a desktop app for macOS and Windows, plus a website and account dashboard. It translates DOCX (Microsoft Word) documents with AI, paid for in one of two ways. By default you use your own API key for the provider you choose (Gemini, GPT, or Claude) — this is “bring your own key” (BYOK); translation runs on your own computer, and in this mode we don’t provide, host, or resell the AI — you deal with the provider directly. Optionally, you can buy AI Credits and translate on Contextra’s managed AI instead: those calls are routed through our gateway on our own provider keys and paid for from your credit balance (see sections 3 and 5).
2. Eligibility & accounts
You must be at least 18 and able to enter into a binding contract. Provide accurate account information and keep it up to date. You’re responsible for your login credentials and for activity under your account. Each account is for one person or organization; the Team plan provides seats for additional users.
On a Team plan, the owner and the managers they appoint can invite and remove members, and can read and delete any document in the team’s cloud projects. If your team removes your seat, your access to the team’s plan and its projects ends — work already saved on your own computer stays yours.
Two things survive your leaving, in opposite directions. A translation memory or term base you shared with the team stays with the team, because your colleagues are relying on that terminology; retire it before you go if you want it withdrawn. And a memory you subscribed to stays on your computer — we cannot reach copies already downloaded — though it stops receiving updates.
3. Plans, trial & billing
- Free trial: new accounts get a 14-day free trial of the full app, with no card required.
- Professional — US$27/month, or US$240/year.
- Team — US$45 per seat/month, billed annually, minimum 3 seats. The team owner holds the subscription and pays for it. A seat is occupied by a member or by a pending invitation; the owner can add seats at any time, and added seats are charged pro rata for the remainder of the term. Removing a member frees their seat for someone else but does not reduce the number of seats you are paying for until the subscription is changed.
- Perpetual — a one-time payment of US$499. Under our 2026 offer, if you purchase in 2026 you receive free updates for life; from 2027, updates are an optional US$99/year.
- AI Credits — optional prepaid credits for translating on Contextra’s managed AI, sold as one-time packs (US$12 for 100, US$50 for 500, US$160 for 2,000 credits). Each AI call is debited from your balance according to the tokens it actually uses, at the rates shown in the app when you pick a model. Credits never expire, and translation-memory matches never consume them. Credits are not a subscription, are not required for any plan, and do not replace a license. Because usage can only be debited after the AI provider responds, a call may briefly take your balance slightly below zero; further managed calls are refused until a top-up restores it.
Prices are in US dollars and exclusive of any applicable taxes. Subscriptions renew automatically for the same period until you cancel; you can cancel at any time and your plan stays active until the end of the current period.
Right of withdrawal: for online purchases you may withdraw within 7 days of purchase, as provided by Article 49 of the Brazilian Consumer Protection Code (CDC). Otherwise, fees already paid are non-refundable except where required by law. Card payments are handled by our payment processor (Stripe), and your purchase is also subject to that processor’s terms.
4. Software license
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Contextra desktop app on the number of computers your plan allows (1 for the trial; 2 for Professional and Perpetual). The Perpetual plan is a permanent license to the version(s) of the app covered by your updates entitlement.
The app can run without a network connection for a grace period on its most recent license — up to 14 days on individual plans, and up to 7 days on a Team seat — after which it reconnects to confirm your entitlement. A Team seat is shorter because the licence is granted by the team rather than held by you: when your team removes your seat, that period is also how long the app may keep working offline. You may not reverse-engineer, resell, sublicense, or attempt to circumvent the app’s licensing, except to the extent the law expressly permits.
5. Bring your own key (BYOK)
In BYOK mode — the default — you supply your own API keys for the AI providers you use, and you are responsible for those keys and for all charges the provider bills you. You must comply with the provider’s own terms. Any cost figures shown in the app are estimates based on providers’ published prices — not bills — and may differ from what your provider actually charges.
If you translate on managed AI Credits instead, no provider key is needed: the call runs through Contextra’s gateway on our own provider keys, and you pay nothing to the provider — the only cost is the credits debited from your balance (section 3). The models available in managed mode, and their credit rates, are shown in the app and may change over time.
6. Your content & intellectual property
You keep all rights to your documents and your translations. We claim no ownership of them. Your documents are processed on your own computer. In BYOK mode the text being translated goes only to the AI provider whose key you supplied; when you translate on AI Credits, it is relayed through our gateway to reach the provider — used only to perform that call and debit your credits, and never stored. Two Team-plan features are the exceptions where we do store content, and only if someone on your team uses them.
Team cloud projects. If someone on your team uploads a document to a shared project, that file and the translation state saved back to it are stored on our servers so the assigned translator can download them. Your team’s owner and managers can download and delete anything in your team’s projects. Our Privacy Policy sets out what is stored, who can read it, and how long we keep it.
Shared translation memories and term bases. Sharing one uploads its entries — client sentences and their translations — and copies them to every teammate who subscribes. That fan-out is the feature, and it is worth being deliberate about: entries a subscriber has already received are on their computer, so stopping sharing halts future updates but cannot recall what was sent. See section 4 of the Privacy Policy.
If your team turns on end-to-end encryption, those entries are encrypted on your own computers before they reach us, and we hold no key that can open them. Two consequences follow, and both belong to you rather than to us: we cannot restore access if the team key and the recovery code are both lost, and we cannot produce the content of an encrypted memory for anyone — you, a member of your team, or a third party — because we are not able to read it.
For both, you grant us only the limited right to store, transmit and replicate that content to your team in order to provide the feature — nothing else, and never to train any AI model. You are responsible for having the right to upload or share it, and for ensuring your own agreements with your clients permit it. This matters more for a shared memory than it looks: the entries come from documents you translated, so sharing a memory can disclose client text you never consciously uploaded.
We (and our licensors) own the Contextra software, brand, and website, and these Terms don’t transfer any of those rights to you.
7. Acceptable use
Use Contextra only for lawful purposes and only to process content you have the right to process. Don’t use it to infringe others’ rights or to break the law, and don’t attempt to breach the security of the service or its licensing.
8. Translation output
Contextra is a tool to assist your work. AI-generated translations may contain errors, omissions, or inaccuracies. You are responsible for reviewing, editing, and — where relevant — certifying the output. Contextra does not produce a sworn or certified translation on its own, and it does not provide legal advice.
9. Third-party services
Contextra works with third-party services — the AI providers you choose, sign-in providers (Google, Microsoft), and our payment processor. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
10. Warranties
Contextra is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We don’t warrant that the service will be uninterrupted, error-free, or fit for a particular purpose. Nothing in these Terms limits any rights you have as a consumer under Brazilian law that cannot be waived.
11. Limitation of liability
To the extent permitted by law, our total liability arising out of or relating to Contextra is limited to the amount you paid us in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages. This does not exclude any liability that cannot be excluded under Brazilian law.
12. Suspension & termination
You may stop using Contextra at any time. We may suspend or terminate your access if you materially breach these Terms or use the service unlawfully. If your subscription ends, your license to use paid features ends; a Perpetual license continues to cover the version(s) it already granted.
Everything on your own computer stays yours and keeps working locally. What happens to content you put in a team — cloud project files and shared memories — is set out in section 6 and in the Privacy Policy’s retention section.
13. Changes to the service and these Terms
We may change or discontinue features and plans, and we may update these Terms. For significant changes we’ll give notice by email or in the app, and we’ll update the “Last updated” date above. Continuing to use Contextra after changes take effect means you accept the updated Terms.
14. Governing law & venue
These Terms are governed by the laws of Brazil. If you use Contextra as a consumer, you may bring claims in the courts of your own domicile, as provided by the Brazilian Consumer Protection Code.
